Acceptance of Terms
By accessing or using ResellCircle.com (the “Website”), owned and operated by Build Our Kingdom Publishing, L.L.C. (“Company,” “we,” “us,” or “our”), you agree to be legally bound by these Terms and Conditions (“Terms”), our Privacy Policy, and any other policies posted on the Website. If you do not agree with any part of these Terms, you must not use the Website.
Modifications to Terms
We may update these Terms at any time. Updated Terms become effective immediately upon posting. Continued use of the Website signifies your acceptance of all changes.
Eligibility
Users must be at least 18 years of age. By using this Website, you confirm that you meet this requirement.
Platform Purpose
ResellCircle is a digital marketplace and referral-based platform where users can buy, sell, and resell digital products such as eBooks, courses, templates, guides, and tools. Users may upload their own original digital content, set custom pricing, and define resale license terms where applicable.
Digital Product Licensing and Resale
Sellers are solely responsible for the content they upload and must possess the rights to distribute and/or resell any material they offer.
All uploaded products must be original or legally authorized for resale.
Unauthorized uploads of PLR or resale products purchased elsewhere are prohibited unless the seller is the valid license holder and has legal rights to distribute.
Sellers may set their own resale licensing terms and restrictions. Buyers must comply with those terms.
ResellCircle is not liable for licensing disputes between sellers and buyers, but may assist in addressing reported violations.
User Conduct
You agree not to:
Upload or distribute content that infringes copyrights, trademarks, or intellectual property rights.
Post or distribute malicious, deceptive, or harmful material.
Engage in spam, scraping, or unauthorized marketing activities.
Circumvent or attempt to manipulate the platform’s commission structure, tagging system, or tracking tools.
Misrepresent potential earnings or make false claims when promoting the platform.
Violation of these rules may result in account suspension or permanent termination.
Commission and Referral Structure
ResellCircle provides users with multiple income streams. Commissions are structured as follows:
100% payout (minus transaction fees) on direct sales of your own uploaded products.
60% payout (minus transaction fees) when other members resell your product through the marketplace.
30% lifetime commissions on purchases made by customers you referred, even when they buy other creators’ products.
40% recurring commissions on monthly subscriptions from Platinum and Platinum Plus members you personally referred.
10% override commissions when your referrals enroll their own Platinum members.
$175 one-time upfront commission for every Platinum Plus activation you refer.
$20 upfront commission for every Bronze member signup you refer. Future adjustments to Bronze pricing may increase commission amounts accordingly.
All referrals are lifetime-tagged, meaning users you bring into the platform remain connected to your account indefinitely.
Affiliate Email Opt-In and Data Use
ResellCircle allows affiliates to collect email addresses from individuals who opt in through their links, profile pages, or campaigns. Affiliates must adhere to the following:
Emails may only be used to communicate regarding ResellCircle, related offers, or personal products and services consistent with the platform’s purpose.
Affiliates must comply with applicable anti-spam and privacy laws, including but not limited to CAN-SPAM and GDPR requirements.
Affiliates are strictly prohibited from selling, renting, or transferring collected email addresses to third parties.
Misuse of customer email data, including spamming or unauthorized promotion, may result in immediate termination and forfeiture of commissions.
ResellCircle is not responsible for the content of communications affiliates send to their referred users. Affiliates bear sole responsibility for compliance with laws regarding their marketing activities.
Platform Access and Limitations
Users may access the Website to manage accounts, upload and sell products, track commissions, and promote offers. Copying, scraping, or duplicating platform design, features, or content for commercial use outside of ResellCircle is prohibited.
Content Ownership and License
You retain ownership of all content you upload. By posting on ResellCircle, you grant the Company a non-exclusive license to display, market, and distribute your content solely for platform operations and product promotion.
Refund Policy
Due to the nature of digital products, all sales are final and non-refundable unless otherwise required by applicable law. Refunds will not be issued for downloaded or accessed digital content. Subscription cancellations stop future billings but do not trigger refunds for previously charged periods.
Earnings Disclaimer
We make no guarantees regarding income or success. Earnings depend on individual effort, strategy, and market conditions. Testimonials and case studies represent individual results and should not be interpreted as guarantees.
Security and Data
We implement reasonable security measures to protect user data. However, no system is fully secure, and we cannot guarantee prevention of all breaches. Use the platform at your own risk.
Affiliate Branding and Marketing Rules
Affiliates may not misuse the Company’s name, logo, trademarks, or branding outside of approved promotional materials. Affiliates must represent ResellCircle truthfully and may not make misleading claims regarding earnings, opportunities, or product capabilities.
Future Adjustments to Commission Structures
The Company reserves the right to adjust commission percentages, payout schedules, subscription pricing, or referral structures. Any adjustments will be communicated in advance. Continued use of the platform signifies acceptance of such changes.
Limitation of Liability
We are not liable for indirect, incidental, or consequential damages. Maximum liability for any claim related to the Website shall not exceed twenty dollars ($20).
Account Termination
We reserve the right to suspend or terminate any account for violation of these Terms, abuse of platform functionality, or unlawful activity. Termination may result in forfeiture of pending commissions in cases of fraud or misconduct.
User Responsibility and Indemnification
You are solely responsible for the content you upload, the marketing you conduct, and any consequences of your activities. You agree to indemnify and hold the Company harmless from claims, disputes, or damages arising from your use of the platform.
Governing Law and Venue
These Terms are governed by the laws of the State of Pennsylvania, United States. Any dispute or claim shall be filed and resolved exclusively in the state or federal courts located in Pennsylvania.
Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain valid and enforceable in full.
